General terms and conditions
This is a courtesy translation. In case of doubt, the German version at Deutsch is legally binding.
§ 1 Scope
These terms apply to all contracts for the production and delivery of individually printed Floss Cards® between product.republic PRC GmbH (the “supplier”) and the customer. Conflicting terms of the customer apply only with express written consent.
§ 2 Conclusion of contract
The presentation in the configurator does not constitute a binding offer. By submitting the enquiry, the customer issues an invitation to submit an offer. The supplier then submits an individual quote (quote number). The contract is concluded upon the supplier’s order confirmation or the customer’s acceptance of the quote.
§ 3 Prices & additional services
The prices stated in the quote apply. Unless stated otherwise, prices are net plus statutory VAT. Print preparation costs, optional additional services (e.g. professional artwork preparation) and shipping costs are shown separately in the quote.
§ 4 Artwork, cooperation & approval
The customer provides print-ready data or commissions its creation. The customer warrants that they hold the necessary rights to the logos, images and texts provided and that no third-party rights are infringed. Approval (proof) takes place before production. The customer is liable for errors in approved data. The customer indemnifies the supplier against third-party claims arising from unlawful content.
§ 5 Delivery
Delivery times are stated in the quote and begin once print approval has been granted and any agreed (advance) payment has been made. Partial deliveries are permitted to a reasonable extent.
§ 6 Payment & retention of title
Payment is made in accordance with the quote/invoice. The delivered goods remain the property of the supplier until payment has been made in full.
§ 7 Right of withdrawal
As the goods are manufactured to customer specifications or clearly tailored to personal requirements, consumers have no right of withdrawal pursuant to § 312g(2)(1) German Civil Code. Business customers have no statutory right of withdrawal in any case.
§ 8 Warranty
The statutory warranty rules apply. Production-related deviations customary in the trade (in particular colour and material tolerances) do not constitute a defect. Obvious defects must be reported immediately upon receipt (for business customers § 377 German Commercial Code).
§ 9 Liability
The supplier is liable without limitation in cases of intent and gross negligence as well as for injury to life, body or health. In the case of simple negligence, the supplier is liable only for breach of material contractual obligations and limited to the damage typically foreseeable for such contracts.
§ 10 Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Where permitted, the place of jurisdiction is the supplier’s registered office. Should individual provisions be invalid, the remainder of the contract remains effective.
